1. ABOUT THESE TERMS These Terms govern your use of beehelp.com (the "Platform") as a Professional. Beehelp is operated by the Beehelp entity registered at the address shown at /legal/contact. By creating a Professional account, you agree to these Terms. 2. WHAT BEEHELP IS — FOR PROFESSIONALS 2.1 Beehelp is a subscription directory. We list verified Professionals, route structured Customer briefs to matching Professionals, and provide tools to respond and convert. 2.2 Beehelp is not your employer, your agent, or your partner. You provide services to Customers in your own name, under your own licence, at your own price, on your own terms. 2.3 Beehelp does not charge commission on your fees, does not take a percentage of any deal, and does not charge per-lead. Your financial relationship with us is the fixed subscription only. 3. ELIGIBILITY 3.1 You must: (a) hold any licence or registration required by your jurisdiction to provide the services you list; (b) be authorised to do business in the country where you serve Customers; (c) be at least 18 years old. 3.2 If your profession is regulated (e.g. law, accounting, notary, regulated trades), you are responsible for compliance with the relevant professional body, including continuing-education, professional-conduct, and advertising rules. 3.3 If you cease to hold a required licence, you must promptly remove the affected service from your profile and notify trust@beehelp.com. 4. YOUR PROFILE 4.1 Your profile must be accurate, current, and not misleading. 4.2 You may not: (a) claim qualifications you do not hold; (b) misrepresent fees, scope, or availability; (c) use photographs or content for which you do not hold rights; (d) copy another Professional's profile content. 4.3 You grant Beehelp a non-exclusive, royalty-free, worldwide licence to display, format, and distribute your profile content on the Platform and in marketing of the Platform (including thumbnail or excerpt use on social channels and category landing pages). 4.4 You retain ownership of your profile content. You can edit or remove it at any time. We retain audit logs of changes for compliance. 5. VERIFICATION 5.1 Beehelp may verify up to three credentials: Identity, Business, and Professional (bar, order, or equivalent). 5.2 You agree to cooperate with verification, submit accurate documents, and notify us within fourteen (14) days of any change that affects your verified status. 5.3 Verification is a point-in-time check. We do not undertake to monitor your credentials continuously. 5.4 Misrepresentation in verification — including forged documents, undisclosed disqualifications, or expired licences — is a material breach and a ground for immediate termination, removal of public badges, and reporting to the relevant regulator where applicable. 6. SUBSCRIPTION TIERS 6.1 We offer Free, Pro, and Premium tiers. The features unlocked by each tier are listed at /for-pros and may change. We will give at least thirty (30) days' notice of any material reduction in features. 6.2 Launch promotion: during early access, all tiers are €0. We will give at least thirty (30) days' notice before billing begins. Tiers you select today are honoured at the rate disclosed on /for-pros at the time billing starts. 6.3 Once billing begins, Pro and Premium are billed monthly or annually as you select. Prices are exclusive of VAT, which will be added where applicable. 7. CANCELLATION AND REFUNDS 7.1 You can cancel a paid subscription at any time from Account settings. 7.2 Monthly plans run to the end of the current billing month with no further charge. 7.3 Annual plans are refundable pro-rata for unused complete months, less a five-euro (€5) administration fee, except where mandatory consumer-protection law provides a more generous refund. 7.4 We will refund in full if we terminate your account for reasons unrelated to your breach of these Terms. 8. RESPONDING TO BRIEFS 8.1 You will receive routed briefs that match your category and country. 8.2 You are not obliged to respond to every brief. Sustained non-response may affect your ranking under the relevance algorithm. 8.3 If you respond, you must: (a) reply with truthful and clear pricing or scope where you state them; (b) not solicit the Customer to bypass professional-conduct rules of your jurisdiction; (c) not divert the Customer to off-platform contact channels before you have accepted the engagement. 8.4 Once you have accepted the engagement, you and the Customer may communicate through any channel you both agree to. 9. CODE OF CONDUCT You agree not to: (a) use Beehelp to send unsolicited commercial messages; (b) misrepresent your fees, availability, or qualifications; (c) operate multiple Professional accounts for the same individual or firm without our written approval; (d) submit fake reviews, solicit fake reviews, or offer compensation for a positive review; (e) retaliate against a Customer for a negative review; (f) infringe the intellectual property of others. 10. REVIEWS 10.1 Customers may leave public reviews after engaging you. 10.2 You may publish a single public reply to any review. 10.3 You may request removal of a review on stated grounds (defamation, off-topic, not from a real customer, content that breaches law). We will assess in good faith and our decision is final between you and Beehelp. You retain any rights you have against the reviewer directly at law. 11. DIRECT CONTACT CHANNELS (PRO / PREMIUM) 11.1 If your tier permits, you may publish WhatsApp, telephone, email, or website contact on your profile. 11.2 You are responsible for what you publish through those channels. Beehelp does not monitor them. 12. DATA PROTECTION 12.1 In relation to Customer brief data routed to you, Beehelp and you act as joint controllers up to the point you accept the engagement. After acceptance you act as independent controller for that engagement. 12.2 You must process Customer personal data lawfully under the GDPR, including: securing storage; honouring data-subject rights of access, rectification, erasure, and portability; not retaining brief data longer than necessary; and notifying Beehelp without undue delay of any personal-data breach that affects Customers routed through the Platform. 12.3 You must not use brief data to contact a Customer about anything other than the brief. 13. INDEPENDENT PROFESSIONAL — NO PARTNERSHIP 13.1 You are an independent professional. Nothing in these Terms creates employment, agency, partnership, or franchise between you and Beehelp. 13.2 You are responsible for: (a) all taxes, social-security, and pension contributions on your earnings; (b) all professional indemnity, public liability, and other insurance required or recommended for your trade; (c) all customer-care, refund, warranty, and complaint obligations to your customers. 13.3 We strongly recommend you carry adequate professional indemnity insurance. We may make adequate insurance a tier-feature requirement in the future, with reasonable notice. 14. INDEMNITY You indemnify and hold Beehelp, its officers, and employees harmless against claims, losses, damages, and reasonable costs (including legal fees) arising out of: (a) any service you provide or fail to provide to a Customer; (b) any breach by you of professional-conduct rules of your jurisdiction; (c) any misrepresentation on your profile; (d) any infringement by you of third-party rights; (e) any breach by you of these Terms or applicable law. 15. SUSPENSION AND TERMINATION 15.1 We may suspend or terminate your account for: (a) material breach of these Terms; (b) false, lapsed, or revoked credentials; (c) serious or repeated Customer complaints; (d) fraud, abuse, or illegal conduct; (e) non-payment of subscription fees after a reasonable cure period. 15.2 You may terminate at any time by closing your account from Account settings. Past briefs and reviews remain in the historical record subject to applicable data-retention law. 16. LIMITATION OF LIABILITY 16.1 Subject to 16.3, Beehelp is not liable for: (a) lost profit, lost opportunity, or lost goodwill; (b) any Customer's act, omission, payment default, or claim against you; (c) any indirect, consequential, speculative, or non-foreseeable loss. 16.2 Our total aggregate liability to any Professional in any twelve-month period is capped at the subscription fees actually paid by you in the preceding twelve months, with a minimum of one hundred euros (€100). 16.3 Nothing in this clause excludes liability that cannot be excluded under applicable law. 17. CHANGES TO THESE TERMS We may amend these Terms. Material changes will be notified by email at least thirty (30) days before they take effect. If you do not accept, you may cancel before the effective date and receive a full refund for the affected period. 18. GOVERNING LAW AND DISPUTES 18.1 These Terms are governed by the laws of Portugal. Disputes are subject to the exclusive jurisdiction of the competent courts of Lisbon, Portugal. 18.2 We may, at our option, agree with you to refer a dispute to arbitration in lieu of court proceedings where that is mutually advantageous. 19.
